| REAL ESTATE AND LAND USE LAW - The firm is particularly experienced in tax-deferred exchanges under Section 1031 of the Internal Revenue Code. We have advised clients with respect to forward exchanges, reverse exchanges, and simultaneous exchanges, all with or without improvement or build to suit complements. We have also been involved in exchanges of personal property. Currently, the firm represents Realty Exchange Accommodation Services, LLC, a company specializing in independent intermediary services with respect to forward exchanges, and Grizzly Investment Properties, LLC, a company specializing in exchange accommodation titleholder services.
BUSINESS AND COMMERCIAL LAW - We provide services to our clients which include assistance with the selection of the type of business organization to utilize, the organization and maintenance of the business entity, and the preparation or evaluation of transactional documents such as sale and purchase agreements.
STARTUP VENTURE REPRESENTATION - Our firm represents startup and growth companies in a wide variety of assignments typical for such clients. These activities included organizational formation, preparation of founder and employment agreements, negotiations and documentation of initial business needs, private financing documents and general advice regarding structure and raising capital.
CONSULTING AND PROJECT SERVICES - From time to time, the firm has been retained on a job or project basis to assist and/or consult with other professionals. Project services have been performed from our offices or on an on-site basis. These services have primarily consisted of projects in the areas of franchising, regulatory compliance, fundraising, and acting as temporary general corporate counsel.
